Definitions and Key Terms
- Company/We/Us/Our: The Rundown AI, Inc's University Division.
- Cookies: Small amounts of data generated by a website and stored by your browser.
- Country: The countries of incorporation for The Rundown AI, Inc.'s University Division, namely Canada and Switzerland, as applicable.
- Device: Any internet-connected device that can access our website and services.
- Service(s): Services we provide, including website content, educational materials, events, and applications.
- Third-party Service: Advertisers, partners, and others who may provide content, services, or tools through our Services.
- You/Your: The individual or entity registered to use our Services.
- Privacy Policy: Our separate policy governing how we collect, use, and protect personal information.
License
We grant you a revocable, non-exclusive, non-transferable, limited license to access and use our website and services in accordance with these Terms.
Account Registration, Access, and Eligibility
You are responsible for all activity under your account and for maintaining the confidentiality of your password. If you access the Services through a Team Plan purchased by an organization, you remain bound by these Terms but are not personally liable for payment obligations if your organization is responsible for fees.
You must create a strong, unique password, never share login credentials, and promptly notify support@therundown.ai of unauthorized account use or security breaches.
Team Plan Provisions
- You are responsible for ensuring all users associated with your Team Plan comply with these Terms.
- Users may transfer memberships only under specific circumstances, such as termination of employment or extended leave.
- You agree to remain responsible for applicable charges and fees during the contracted term. If a Team Plan has a minimum contract duration, the organization remains liable for payment until the term concludes.
Data Processing Addendum
For organizations subject to data protection laws, we offer a Data Processing Addendum that governs the processing of personal data. Where applicable, the DPA supersedes these Terms in case of conflicts regarding data processing.
Services, Materials, and Intellectual Property
The Services may contain protected content, including video, text, software, photos, graphics, live events, audio, designs, and trademarks. We and our licensors own all rights to these Materials. You may not copy, distribute, modify, publish, or exploit Materials without prior written authorization.
You may download or make personal copies of Materials explicitly marked downloadable, but only for personal use. Further distribution, modification, or public display is prohibited without authorization.
User Submissions and Conduct
Any content you post, upload, or provide is a User Submission. By providing User Submissions, you grant us a worldwide, non-exclusive, perpetual, royalty-free license to use, modify, distribute, and display that content as necessary to operate and improve the Services.
- User Submissions may be displayed within the Services, featured in promotional materials with attribution, analyzed for product improvement, or shared with educational partners in anonymized form.
- You represent that User Submissions comply with laws, do not infringe third-party rights, are not offensive or discriminatory, and do not contain confidential information you are not authorized to share.
- You may not share login credentials, violate intellectual property rights, harass others, access other accounts, use the Services for illegal activities, or interfere with the Services.
Subscription, Payment, Billing, and Refunds
We may offer a free trial period. After the trial, your account automatically converts to a paid subscription and your payment method is billed unless you cancel before the trial ends.
- Payment Processing: We use Stripe, Inc. as our third-party payment processor. You authorize us to charge your payment method for subscription fees agreed during enrollment.
- Auto-Renewal: Subscriptions renew automatically unless canceled before the renewal date. You may cancel auto-renewal in account settings.
- Price Changes: We may change prices with 30 days advance notice. Changes take effect at your next billing cycle.
- Refunds: There are no refunds for Rundown products or product access once purchased. Once a recurring subscription is processed, Rundown is not liable for refunds unless cancellation was made before the recurring subscription process date.
AI Features
We may offer AI Features. By using them, you consent to limited access by our AI tools to data required for their function, processing of inputs and uploaded content, and temporary storage of interaction data to improve functionality.
User inputs are retained for a maximum of 30 days for service improvement before deletion or anonymization. AI Features are provided as is and may not always be accurate or suitable for your needs. Use of AI-generated content is at your own risk.
Restrictions
- Do not license, sell, rent, lease, assign, distribute, transmit, host, or disclose the Services or Materials.
- Do not modify, create derivative works from, reverse engineer, or disassemble any part of the website or Materials.
- Do not use robotic automation to access or extract information from the Services.
- Do not interfere with or disrupt the Services.
Return Policy and Cancellation
By making a purchase, you agree to these Terms and the provisions of our Privacy Policy. You may cancel your subscription anytime through account settings. Cancellations are effective at the end of the current billing period.
- If you joined via our Circle upgrade page, navigate to Account -> Billing -> Subscription, select the menu, and choose Cancel.
- If you joined via Beehiiv, go to therundown.ai, log in, and navigate to Account Profile -> Manage Subscription -> Billing -> Cancel/Change Plan.
- Go to app.therundown.ai/login, open the bottom-left profile menu, then My Profile -> Billing Details -> Manage Billing -> Cancel Subscription.
Assignment and Transfer
You may not assign or transfer your rights or obligations under these Terms without prior written consent. We may transfer our rights and obligations without restriction, provided your rights under the Terms are not diminished.
Limitation of Liability
To the maximum extent permitted by law, we and our suppliers shall not be liable for direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses resulting from use of or inability to use the Services, unauthorized access, third-party conduct, content obtained from the Services, or errors or omissions.
Where limitations of liability are not allowed, liability is limited to the extent permitted by law. In no event shall our total liability exceed the amount you paid to access the Services in the preceding 12 months.
Dispute Resolution and Governing Law
- Informal Resolution: We encourage you to contact support@therundown.ai before pursuing formal action.
- Mediation: If informal resolution is unsuccessful, disputes shall first be submitted to confidential mediation with a mutually agreed mediator.
- Arbitration: If mediation fails, disputes shall be settled by binding arbitration under the rules of the International Chamber of Commerce.
- Exceptions: Either party may seek injunctive relief in intellectual property infringement or other urgent legal matters.
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law provisions. For users accessing the Services from Switzerland, Swiss law may apply to certain aspects of service delivery as required by applicable law.
Changes, Termination, and Force Majeure
We may modify these Terms at any time and provide notice of significant changes by email or prominent platform notice. Continued use after changes constitutes acceptance. If you do not agree, discontinue use.
We may suspend or terminate access if you violate these Terms, engage in fraudulent activity, your account is inactive for more than 12 months, or we cease offering the Services. You may terminate use by canceling your subscription and closing your account. Access ends at the end of your subscription period, and sections that should survive termination remain in effect.
Neither party is liable for failure or delay due to circumstances beyond reasonable control, including natural disasters, pandemic, terrorism, war, civil unrest, labor disputes, or government actions.
Severability and Contact Information
If any provision is unenforceable or invalid, it shall be changed and interpreted to accomplish its objectives to the greatest extent possible, and the remaining provisions continue in full force.
